Adding/removing a Director

    Hi Guys,
    I'm looking to remove one director and add a new one for my company.
    All parties are happy with this.

    I've seen the forms on edge.asic.gov.au so I know how to update this with ASIC.
    But I'm assuming I still need to hold a formal meeting & shareholder vote.

    Can anyone point me to a reference where I can see a procedure and/or documents I can follow to do all of this appropriately?

    The meeting requirement will depend on your constitution.

    You need to get a 'Resignation by Director' and 'Consent to Act as Director' from the outgoing and incoming parties respectively.

    From there you can lodge the necessary form.
