I find that when it comes many professional structures there are limits to our innovations due to Government and Professional Requirements

Personally we are see a big move to back to simple structures, ie a Pty Ltd. The innovation comes in the form allocation of shareholders and share classes.

As most of the professional bodies require voting rights by the qualified members, it is often required to issue to shareholders (which can inturn be trusts) non voting rights share and only access to dividends.

Things that need to be considered though in addition to legal requirements, is the tax implications, for example can the new structure qualify for small business capital gains tax concessions when sold, tax consequences of departing/new members – employee share schemes etc

Another consideration is access to many government grants limit funding to Pty Ltd, so if the new venture wishes to access these grants the innovation is again restricted.
