Hi Eli

My firm does a lot of tech startup work. My partner in the firm has worked in this space for over a decade and he is the gun on it. A key consideration should be the separation of the Intellectual Property from the trading entity.

In an ideal world we setup an IP entity that Owns all the IP you have now and then licences the use of it to a trading entity. The agreement also requires that any new IP created by the trading entity is owned by the IP entity.

However you are looking at $1500 plus GST per entity setup then another $1500 plus GST for the associated agreements. Always a bit of a big hit for a startup. You can step into it by getting an IP entity setup first and assigning the IP to it.

What is someone’s potential loss from using your App? That would be a great starting point to see what you might need
